Flow is seeking a Corporate and Commercial Counsel to serve as a business partner within their legal team.
The role involves corporate generalist work at a high-growth startup, covering commercial agreements, brand and advertising compliance, real estate, and operations.

Structure, draft, review, analyze, negotiate, and interpret commercial agreements including vendor, construction, design, events, and marketing contracts.
Partner with business teams to align legal strategy with business strategy.
Support corporate aspects of business transactions such as drafting corporate consents and assisting with post-closing integration.
Maintain complex corporate structure across Florida, Delaware, and international subsidiaries.
Draft written consents, officer certificates, and board resolutions.
Maintain entity org charts.
Coordinate with outside counsel on product and regulatory matters.
Advise on operational legal issues including lease compliance and property-level matters.

2–4 years of experience in general corporate or ECVC work in biglaw, or similar corporate and commercial in-house experience at a high-growth or venture-backed company.
Comfortable with multi-entity corporate structures and subsidiary governance.
Desire to own work end-to-end and grow with the company.
Strong written and oral communication skills.
Admitted and in good standing with the state bar in the jurisdiction where the position is based (Florida or New York).
